The short version. myChap is software your chapter uses to run itself. Your chapter — not us — decides who its members are, what programs it runs, what it charges and whether you get a refund. We keep the software running and look after your account.
You can delete your account at any time. Section 10 is the refund policy. Section 14 limits what you can claim from us, and we have written it in ordinary words rather than hiding it.
These Terms of Use form a binding agreement between you and ThetaZero Private Limited, a company incorporated in India with registered office at No. 10, Manikandan Nagar, Hasthinapuram, Chennai, Tamil Nadu 600064, India, CIN U74999TN2022PTC157268. In these terms "we", "us" and "ThetaZero" mean that company; myChap is our product, not a legal entity.
They apply to the myChap web application, the myChap member and leader mobile apps, and the services behind them (together, the Service). You accept them by creating an account, joining a chapter on myChap, or otherwise using the Service. If you do not agree, do not use it.
Throughout this document: a Chapter is an organisation with its own workspace on myChap; a Member is an individual with a myChap account who belongs to one or more Chapters; an Administrator is the owner of a Chapter or a Member it has granted administrative rights.
If you accept these terms on behalf of a Chapter, you confirm you are authorised to bind it, and "you" means both you and it. The commercial agreement with a Chapter is the separate Master Service Agreement; where the two conflict on a commercial matter, the Master Service Agreement governs.
myChap is software Chapters use to run themselves. Depending on the plan a Chapter buys, that can include membership records, portfolios and roles, programs and registrations, budgets and expenditure, announcements and minutes, a Knowledge Library, volunteer management, mentoring, a job board, analytics, and collection of fees for paid programs.
We supply the software. We do not run the Chapters. We do not organise, host, endorse, verify or underwrite the programs, job listings, documents or announcements a Chapter publishes, and we are not a party to the relationship between a Chapter and its Members.
myChap does not confer membership. You cannot become a member of a Chapter through myChap. A Chapter imports its membership list from its own records, and myChap tracks which memberships are live and which have expired. Your membership is granted, renewed and ended by the Chapter under its own rules and constitution, entirely outside this Service.
The Service is provided in English. Prices are handled in Indian Rupees (INR); see section 7.
You must be at least 18 years old to hold a myChap account. The Service is not designed for children, and Chapters must not create records for people under 18 — see the Privacy Policy.
Give accurate registration details and keep them current. You are responsible for everything done through your account.
Signing in uses your email address and a one-time code we send to it. Reaching a Chapter's portal additionally requires that Chapter's password, which the Chapter controls. Keep both to yourself. We will never ask you for a one-time code. Tell us promptly at support@mychap.net if you think either has been compromised.
For security we record the device and network details of each signed-in session. What those are, and how long we keep them, is in the Privacy Policy.
Each Chapter gets its own isolated workspace. Data created inside a workspace belongs to that Chapter's records, and the Chapter decides what is collected and who inside it may see it.
If you are a Member, read this. The Administrators of a Chapter you belong to can see the information that Chapter holds about you: your profile and contact details as stored in that workspace, the programs you register for, your attendance and cancellations, the payment records for those programs, your volunteer hours, anything you upload, and — if the Chapter runs a job board — the profile and CV you submit to it. Using a Chapter's workspace means accepting that visibility.
Administrators can also assign roles and portfolios, edit records, publish content on the Chapter's behalf, and change the Chapter's subscription. Other Members see only what their role permits. If a Chapter enables guest access, some of its content becomes reachable by people who are not Members, according to that Chapter's configuration.
We act on a Chapter's instructions in relation to its Member data. Disputes between you and your Chapter — about membership, fees, programs or how it uses your information — are between you and that Chapter.
You agree not to use the Service to:
We may remove content, restrict features or suspend access where we reasonably believe these rules have been broken. We are not obliged to monitor content, and the fact that something remains on the Service is not our endorsement of it.
You keep ownership of everything you submit — profile details, posts, documents, images, minutes, library files, CVs. We claim no ownership of it.
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, adapt for display and deliver that content, strictly to operate the Service for you and your Chapter. The licence ends when the content is deleted, except for copies in backups for the period in section 8. We do not sell what you post, and we do not use it to advertise to you.
You confirm you have the rights to what you upload and that it does not infringe anyone else's rights.
A Chapter that uploads a recording — a lecture, webinar, panel or conference session — confirms that it has permission from every identifiable participant to record and share it, and that it holds or has cleared the rights to any third-party material it contains. The Chapter, not ThetaZero, is responsible for obtaining those permissions.
If you appear in a recording, or own rights in material inside one, and you want it removed, write to legal@mychap.net. We will pass your request to the Chapter and may suspend access to the recording while it is resolved.
A Chapter subscribes to a core plan sized by its member count, plus any optional modules and add-ons. The plan a Chapter holds determines which features are available to everyone in that workspace.
We may change our prices. Changes take effect at the start of a Chapter's next billing period, and we give notice before they do. Where a Chapter holds a price-lock commitment under its Master Service Agreement, that commitment governs.
A new Chapter starts on a free trial — 60 days by default — with reduced usage limits. No payment is required to begin.
When a trial or paid period ends without payment, the Chapter enters a grace period: 10 days after a trial, 7 days after a paid period, by default. The Service keeps working during the grace period and we send reminders.
If the grace period ends without payment, the Chapter is locked. Members can no longer use that workspace, and only the Chapter's owner can reach the billing screens to restore it.
After a subscription is cancelled or expires, Chapter data is retained for a further period — 30 days by default — and may then be permanently deleted. Trial length, grace length and the retention window are configured per deployment; the values in your Chapter's billing screens are the ones that apply to you.
Chapters create their own programs, set the price, set capacity, decide who may register, and set the refund policy that applies.
When you register for a paid program, you are paying the organising Chapter, not ThetaZero. The fee is collected through our payment gateway and settled to that Chapter's verified bank account, net of refunds, gateway charges and any amounts due to us. Settlement timing depends on the Chapter completing bank verification and on the gateway's settlement cycle.
Payments made by UPI are confirmed asynchronously by the gateway, so a registration may show as processing briefly before it is confirmed. If a payment is debited but a registration does not confirm, contact us.
The Chapter, not ThetaZero, is responsible for running the program and for what it promises attendees. Complaints about a program — content, venue, cancellation, conduct — go to the organising Chapter first.
This section is the Program Cancellation Policy referred to in the myChap apps at the point of program registration.
The refund policy that applies to a registration is the one shown on that program when you registered. A Chapter can set a default policy covering all its programs and can override it for an individual program. A policy is made up of:
Where a refund is due it is returned to the original payment method through the gateway. Gateway charges may not be recoverable and can be deducted from the amount refunded. Refund timing after we submit it is controlled by the gateway and your bank.
Subscription fees for the platform are not refundable, except where refund is required by law or we have agreed otherwise in writing. Cancelling a subscription stops future renewals; it does not refund the current period.
The Service depends on providers we do not control — payment collection and settlement, database and file hosting, push notification delivery and email delivery. The current list, and what each one receives, is on our sub-processor page.
Their own terms govern their services. We are not responsible for their acts or omissions, and an outage at one of them can interrupt the Service.
The Service — its software, design, interfaces and documentation — and the myChap name, logo and the mark Belong. Achieve. belong to ThetaZero or our licensors. Nothing here transfers any of it to you.
While a subscription is active, we grant a limited, revocable, non-exclusive, non-transferable right to use the Service for the Chapter's internal purposes. You may not copy, modify, distribute or create derivative works from it, or remove any proprietary notice.
If you send us feedback or suggestions, we may use them freely and without obligation to you.
The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, or for death or personal injury caused by negligence.
Read this one properly. It limits what you can claim from us, and the law lets us limit it only if we say so clearly.
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, goodwill, business opportunity or data, however caused.
Where a Chapter is the claimant, our total aggregate liability will not exceed the total fees paid to us for the Service by that Chapter in the twelve months before the event giving rise to the claim.
Where an individual is the claimant, our total aggregate liability is limited to the greater of (a) the amounts you personally paid to ThetaZero in those twelve months, or (b) INR 10,000. Because Members pay their Chapter rather than us, for most individuals this will be the second figure.
We are not liable for losses caused by a Chapter's own decisions, a Chapter's handling of Member data, the conduct or cancellation of a program, the acts or omissions of the providers in section 11, or your sharing a one-time code or losing control of your email account.
You agree to indemnify us against claims, damages, liabilities and reasonable costs arising from content you submit, your use of the Service in breach of these terms or of applicable law, and — where you act for a Chapter — that Chapter's relationship with its Members and the programs and fee collection it operates through the Service.
You may stop using the Service at any time. A Chapter can cancel its subscription from its billing screens; cancellation takes effect at the end of the paid period.
You can delete your account yourself, from Profile → Settings. After you verify your identity, myChap lists every Chapter you belong to and you choose which ones to delete your data from. Selecting every Chapter closes your myChap account; selecting some removes your data from those Chapters and leaves your account open. Deletion is immediate and cannot be undone. See Delete your account for exactly what is removed and what your Chapter is required to keep.
Deleting your myChap account does not end your Chapter membership, because myChap does not hold it. To resign a membership, contact the Chapter.
Chapter owners, Administrators and portfolio holders cannot delete their own account while they hold that role, because a Chapter left without an owner cannot be administered. Transfer ownership or step down first; Settings will tell you which role is blocking you. If you cannot resolve it, email support@mychap.net.
We may suspend or terminate access where a Chapter has not paid and the grace period in section 8 has ended; where the rules in section 5 have been broken; or where we are required to by law or continued provision would expose us to legal risk. Except where the breach is serious or we are legally prevented, we will tell you why and give you a chance to respond.
On termination, your right to use the Service ends. Data is deleted after the retention window in section 8, other than records we must keep for legal, tax or accounting reasons.
We may update these terms as the Service changes. Where a change materially affects your rights, we give at least 30 days' notice by email and in-app before it takes effect, and the previous version stays available in our archive. Continuing to use the Service after that means you accept the updated terms. If you do not want to accept them, you can delete your account.
The effective date at the top of this page is the authoritative version marker.
These terms are governed by the laws of India, without regard to conflict-of-law rules. The courts at Chennai, Tamil Nadu have exclusive jurisdiction over any dispute arising out of or relating to them or to the Service.
Before starting proceedings, please write to legal@mychap.net so we can try to resolve the matter informally. We respond within 15 days, and most problems are faster to fix that way.
If a court finds part of these terms unenforceable, the rest continues to apply. If we do not enforce something straight away, that does not mean we have given up the right to enforce it later. You may not transfer your account or your rights under these terms; we may transfer ours as part of a reorganisation or sale of the business, and will give notice if we do.
